Key Responsibilities
• End-to-End Board Meeting Management
– Partner with CEO/Chair to design meeting agendas that drive strategic debate
– Build integrated board packs via a secure board portal; manage version control and digital signatures
– Facilitate hybrid (on-site + virtual) meetings, ensuring seamless attendee experience

• Regulatory Intelligence & Proactive Advisory
– Scan Thai and global capital-market updates; prepare concise briefs on legislation that could impact corporate strategy
– Advise Committees on proactive enhancements to governance practices and risk controls

• Committee Secretariat for Risk & Audit
– Organize quarterly Risk and Audit Committee sessions; assemble risk registers, control self-assessment reports and audit findings
– Track remediation plans and report on KPI progress

• Governance Data & Analytics
– Develop and maintain a governance dashboard: meeting attendance, action-item closure rates, compliance breach logs
– Produce monthly and quarterly status reports for the Board

• Shareholder & Investor Liaison
– Serve as point-of-contact for institutional investors, proxy advisors, credit rating agencies and analysts on governance inquiries
– Oversee shareholder feedback programs and voting trends analysis

• Corporate Documentation & Policy Development
– Draft and review board resolutions, powers of attorney, share issuance documents, director service agreements
– Lead periodic updates of governance manuals, board charters and ESG policy statements

Requirements
• Law degree or related, plus company secretary certification (ICSA/IFC) a strong advantage
• At least 5 years in a corporate secretarial or governance role within a listed or multinational corporation
• Strong command of English and Thai, able to prepare executive-level reports
• Tech-savvy: proficient in board portals (eg. Diligent, Boardvantage) and MS Power BI or equivalent
• Highly proactive, critical thinker with a penchant for continuous improvement
